Olman J. Valverde has fourteen years experience as a business attorney. His primary focus for the most recent five years has been representing oil companies in connection with transactions for the purchase and sale of oil and gas leases, title examination related to oil and gas rights, project finance transactions related to exploration and development projects, and litigation related to mineral rights and production activities. Mr. Valverde’s oil and gas practice has also included advising clients with respect to corporate governance, securities law, and partnership law.
Representative Professional Experience Includes:
- Represented an oil and gas company with respect to mineral rights in a lease dispute, which culminated in a tentative judgment after a bench trial and subsequent affirmation of the client’s oil and gas lease.
- Represented an oil and gas client with respect to the acquisition of oil and gas leases, including preparation of purchase and sale agreement, title review of mineral rights and related due diligence.
- Represented an oil and gas client with respect to preparation of subscription agreements in connection with private placement of preferred stock and secured notes for exploration and development fund.
- Represented an oil and gas company with respect to preparation of purchase agreements for acquisition of oil and gas leases.
- Provided drafting and title review of oil and gas leases for various oil and gas clients.
- Provided consultation and advice with respect to corporate governance and compliance with respect to partnership agreements and securities law.
- Represented an oil and gas client in a quiet title action to enforce an oil and gas lease.
Prior Experience Includes:
Advising technology start-up in connection with private placement of preferred stock, including preparation of subscription documents and compliance with California, New York and federal securities laws. Drafting marketing agreements for national sponsor of basketball tournament, including product placement, trademark licensing, television advertisement and video distribution. Advising developer in pursuing legislative amendment to obtain exemption from prevailing wage requirement in public works project based on policy in favor of promoting economic development on closed military bases. Drafting legislation and preparing analysis to promote the purchase of fuel-efficient vehicles. Preparing advocacy letters on behalf of school bus manufacturer regarding legislation in the areas of fuel efficiency, petroleum dependency, promotion of alternative fuels, state-wide energy policy and diesel regulation.

Education:
Mr. Valverde is admitted to practice law in the State of California and the U.S. District Court, Central and Northern Districts of California. He received his B.A. from U.C. Santa Cruz in 1990 and his J.D. from Boston College Law School in 1996. Mr. Valverde was active in the appellate advocacy program and was selected to represent Boston College Law School in the 1995-1996 National Environmental Law Moot Court competition.
